1. Acceptance of Terms

By accessing or using NanoReply (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

NanoReply is an Instagram DM automation service that:

  • Integrates with Instagram Business accounts via OAuth
  • Listens to incoming Instagram direct messages via webhooks
  • Automatically replies to messages based on user-defined keyword rules
  • Logs message history for reference

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your Instagram Business account meets Meta's requirements
  • Complying with Instagram's terms of service and community guidelines
  • The content of automated replies you configure

4. Instagram/Meta API Usage

By using our service, you agree to:

  • Comply with Meta's Platform Policy and Instagram API Terms of Use
  • Only use authorized Instagram Business accounts
  • Not attempt to circumvent rate limits or API restrictions
  • Not use the service to send spam, unsolicited messages, or content that violates Instagram's policies

NanoReply is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or Instagram.

5. Acceptable Use

You agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Send automated replies that are harassing, abusive, offensive, or violate applicable laws
  • Configure automation that could be considered spam or nuisance messaging
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the service to collect personal data without consent
  • Interfere with or disrupt the service or servers

6. Content and Automated Replies

You retain ownership of all content and automation rules you create through the Service. However:

  • You grant NanoReply a license to process, store, and use your content to provide the Service
  • You are solely responsible for the legality and appropriateness of your automated replies
  • We reserve the right to disable automation rules that violate these terms
  • Indemnify NanoReply for any claims arising from your automated content

7. Service Availability

We strive to maintain high availability but cannot guarantee 100% uptime. Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control (including Instagram API outages). We are not liable for any losses resulting from service interruptions.

8. Suspension and Termination

We reserve the right to:

  • Suspend or terminate your account for violation of these terms
  • Disable access to the Service without prior notice for serious violations
  • Provide notice and opportunity to cure for minor violations
  • Delete your account and data upon termination

9. Payment and Refunds

The Service is currently in BETA mode. Future pricing and payment terms will be communicated separately and will be subject to these Terms of Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANOREPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless NanoReply, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Service, your violation of these terms, or your violation of any rights of another.

13. Intellectual Property

All content, features, and functionality of the Service are owned by NanoReply and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or create derivative works of the Service without our express written consent.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on this page and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the new terms.

17. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.
